On 25 March 2021, GRAU Rechtsanwälte PartGmbB participated as a partner of the German-Polish Chamber of Industry and Commerce (AHK Poland) in a conference aimed at presenting the city of Hamburg as an important European economic and trade centre. The webinar concerned legal issues related to setting up a business in Hamburg and investment projects in the field of mergers and acquisitions – as well as acquisitions of existing companies.
During the course of the conference, Adriana Grau gave a presentation on the establishment and acquisition of limited liability companies in Germany. The choice of legal form and the model of an enterprise is crucial from the perspective of achieving the intended success and measurable economic benefits. Therefore, it is advisable to seek specialist legal advice when choosing a particular legal form of an enterprise, as the form of a company should correspond to its internal organisation and aims.
At present, German law offers various legal solutions for setting up a company in Germany. The following legal forms are possible: subsidiary under German law, independent or dependent branch. In addition, for some companies it is most efficient if they do not operate on the market in the above-mentioned way, but distribute their products through commercial agents, contractual dealers or franchisees.
